市场经济条件下，部分民办学校在优胜劣汰中破产倒闭，已成为一种必然趋势和正常现象。本文依据相关法律法规，从法理和实践层面，探讨分析了与民办学校破产清算紧密相关的四个重要问题，即破产清算的法律适用问题、破产程序的启动申请问题、破产财产的分配顺序问题和学校办学终止时的学生安置问题，并结合实际，提出了一些独到的见解和建议。

In the context of market economy, it is inevitable that some private institutions would go bankrupt in a survival-of-the-fittest competition. This paper, according to relevant laws and regulations, analyzes four closely related and quite important issues about bankruptcy liquidation in private institutions from legal and practical level, namely, the bankruptcy liquidation application of the law, the commencement of insolvency proceedings, the distribution order of the estate after bankruptcy and the resettlement of students at the termination of private institutions. Additionally, it also points out some views and suggestions to solve the issues.
