美国高校董事会制度的运行是一个复杂的交易过程，各方面群体、机构和个人都参与其中，在与参与者的交易过程中，董事会有时扮演委托人的角色，有时扮演代理人的角色。本文以委托代理理论为基础，分析美国不同类型高校董事会的代理人和委托人身份。

| 英文摘要 |
The running of institution of governing board in American Higher Education is a complex trans-action, involving different groups, institutions and individuals. In the transaction with all participators, the governing board acts as principal or agent. Based on principal-agent theory, this paper analyzes the role of governing board as principal and agent.
